The Role

The Procurement & Contracts Manager will be responsible for management of agreements with a variety of business partners and improve contracting processes and efficiencies; and assist with the implementation and operation of a potential new contract lifecycle management system ("CLM"). This is an outstanding opportunity to join a new contract management team and have a big impact at a collaborative, creative, and high growth company. This role is based in Atlanta, GA in the Moderna Enterprise Solutions Hub.

This role offers a unique opportunity to be part of a brand-new team within the Global Procurement Operations team. Moderna is a company that is growing quickly and expanding across the globe. This role offers an opportunity to join Global Procure to Pay and to have a tremendous impact, participating actively in building the commercial capabilities of the company, allowing Moderna to distribute lifesaving vaccines to patients in expanding markets.

Here's What You'll Do

  • Manage daily incoming contract requests, assign contracts for review to Legal where necessary, track matters, and coordinate signature process.
  • Manage contract development through all lifecycle stages (draft, revision, approval, filing, and distribution)
  • Evaluate records for retention in compliance with company-approved policies.
  • Work collaboratively with Procurement Category Management to ensure that Procurement strategy and negotiated content is included in contracts.
  • Build and cultivate strategic stakeholder relationships to find the optimum balance between meeting company needs and delivering total value.
  • Manage communications with internal clients and external parties to obtain and exchange information and legal documents relevant to the contracting and approval process.
  • Foster and develop strong relationships with internal Company stakeholders and coordinate on contracting and reporting requirements.
  • Learn and implement industry best practices for contract administration using a CLM tool.
  • Review, draft and edit a broad range of commercial contracts for internal business partners (e.g., consulting, vendor, technology, and nondisclosure agreements) and assist in the negotiation of contractual issues and optimizing of contract language to support business requirements.
  • Maintain and enhance contract templates for key contract types, including Confidential Disclosure Agreements, Master Service and Master Supply Agreements, Statements of Work, Consulting Agreements (including with healthcare professionals), and Clinical Trial Agreements.
  • Develop training materials on contracting topics for Company employees and conduct trainings as required.
  • Assist with continuous enhancements to increase adoption, compliance, throughput and cycle times in close collaboration with Procurement Operations and cross functional/senior stakeholders.

Here's What You'll Need (Minimum Qualifications)
  • Minimum 6 years of experience negotiating, drafting, and finalizing a variety of commercial contracts and/or sales agreements
  • Bachelor's degree required; demonstrated experience may be substituted for the educational requirements

Here's What You'll Bring to the Table (Preferred Qualifications)
  • Paralegal degree or certification preferred
  • Knowledge of legal and commercial terms and concepts and familiarity with basic business contracts.
  • Knowledge of Formal and informal competitive bidding principles and processes and legal requirements.
  • Developing and/or managing contracts, including tracking documents through the contracting lifecycle, contract compliance items, and keeping organized records.
  • Able to work independently and as part of a high functioning team in a fast-paced environment.
  • Sound reasoning skills, excellent problem-solving skills, and ethical judgment within broadly defined practices and policies.
  • Organizational skills and high level of attention to detail.
  • Experience working at a life sciences or medical company preferred but not required.
  • Familiarity with CLM's, Agiloft, MS Word, Excel, SharePoint, PowerPoint, and Outlook.
  • Working independently with general guidance from supervisor.
  • Making decisions and exercising good judgment; demonstrating political astuteness.
  • Maintaining poise while dealing with people in difficult situations; exercising tact and diplomacy; always interacting in a professional and courteous manner.
  • Maintaining confidentiality of all matters.
